1. Terms and Conditions

1.1 The 'Buyer' means the Account Applicant or person who buys or agrees to buy goods from the Seller

1.2 The 'Seller' means sheetmetalworld.com (services) ltd.

1.3 'Terms and Conditions' means the terms and conditions of sale set out in this document.

1.4 Terms and Conditions are between the Buyer and the Seller only and sheetmetalworld.com.ltd accept no liability regarding the transaction.

2. Conditions

2.1 The Term and Conditions shall apply to all purchases by the Buyer from the Seller to the exclusion of all other terms and conditions including but without limitation those which the Buyer may purport to apply under any confirmation of order/invoice or similar document.

2.2 No variation or addition to these conditions shall be effective unless agreed in writing by both parties;

2.3 Placing of the order for purchase shall be deemed conclusive evidence of the Buyers acceptance of these conditions;

2.4 Nothing in these conditions shall affect the statutory rights of the Buyer.

3. Prices.

3.1 The price shall be that on the Seller's current price list (or if applicable the price contained in the Seller's quotation) which shall be the price list disclosed at the time of or prior to the time that the order for purchase is placed;

3.2 The Seller reserves the reasonable right to revise prices prior to an enhancement of the Service going live to reflect any direct or indirect reasonable increase in costs to the Seller, if the price has been paid in full prior to the Service enhancement going live;

3.3 No price revision will take place without notification to the Buyer;

3.4 In the case of additional sales, payment is due on the terms of the specified payment method, if invoice terms are requested payment should be received within 30 days or the order will be deemed void;

3.5 Payment must be made in full before any purchase will be activated;

3.6 Title in any goods under this Agreement shall not pass to the Buyer until such time as the Sellers has received the purchase price in full for those goods and the Seller shall the right to recover those goods from the Buyer of the Buyers representatives;

3.7 All invoices will be paid in full, free from any deduction for any set-off, counterclaim or otherwise howsoever.

4. Warranty and Liability

4.1 Subject to any conditions or warranties implied into this Agreement the Buyer has investigated and is satisfied as to the suitability of the purchase for the Buyer's purpose;

4.2 If the Buyer fails to pay for any purchases within the agreed payment terms the Sellers may either not provide or withdraw the purchases from the Buyer;

4.3 The Seller reserves the right to withdrawn services without prior notification if these are subject to improper use such improper use to be determined in the absolute discretion by the Seller;

4.4 The Seller accepts no responsibility for any damages (if incurred) by the Buyer for technical or software faults.

5. Force Majeure

The Seller will not be under any liability whatsoever in the event that the Seller is prevented or delayed from supplying any purchase by any reason or cause beyond the Sellers control.

6. No Waiver.

6.1 The Sellers failure to insist upon strict performance of any provision of these conditions shall not be deemed to be a waiver of its rights or remedies in respect of any default of the Buyer in performance or compliance with any of these conditions.

6.2 If any provision of the Terms and Conditions is held by a court of competent jurisdiction to be invalid illegal or unenforceable, such provision shall be deemed to be deleted and the other provisions of the Terms and Conditions shall remain in full force and effect.

7. Liability.

Except as may be implied by law where the Buyer is dealing as a consumer, in the event of any breach of these conditions by the Seller the remedies of the Buyer shall be limited to damages which shall in no circumstances exceed the price of the purchases and the Seller shall under no circumstances be liable for any indirect, incidental or consequential damage.

8. Governing Law

These Terms and Conditions shall be governed by the laws of England and Wales and both parties submit to the exclusive jurisdiction of the courts of England and Wales.

Any notices to be given under these Terms and Conditions shall be made via e-mail to the respective e-mail address of the recipient (except in respect of notices of changes to the Terms and Conditions or any aspect of the service which may be notified by displaying notices generally on the Service).
